: (1) The meeting of the Committee shall be held at the appointed time and place and the procedure of the meeting of the Committee shall be as prescribed. In the absence of the chairman, the director chosen by the directors from among themselves will preside over the meeting of the committee (2) If more than the total number of members present in the committee are present at the meeting, it shall be considered that the quorum of the committee has been reached and if the quorum is not reached, the meeting shall be adjourned.
(3) All matters shall be decided by the majority of directors present and voting at the meeting of the committee. The presiding director generally does not have the right to cast a vote, but in case of a tie, he has the right to cast a decisive vote.
